Please read these Terms of Service ("Terms") carefully before using the website or engaging the services of "The Digital Chief of Staff" (the "Service") operated by Lelen Lemou ("I", "my", "me").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access the Service.
I will provide IT support and consulting services as detailed in a mutually agreed-upon service package or Statement of Work ("SOW"). Services are performed with high professional standards and business ethics. I will perform the services as an independent contractor, not as an employee of your company.
Fees for services will be outlined in your service package agreement. For monthly retainer services, payment is due at the beginning of each monthly service period. For project-based work, payment schedules will be defined in the SOW. Late payments may result in a suspension of services.
In no event shall I be liable for any lost profits, lost data, or any indirect, special, incidental, or consequential damages arising out of or in connection with the services provided. My total liability to you for any and all claims arising from the use of the Service is limited to the amount you paid me for services in the preceding three (3) months.
To ensure the effective delivery of services, you agree to provide timely access to necessary personnel, equipment, and information as reasonably required. You are responsible for the security of your own data and for maintaining your own backups.
I will treat all non-public information provided by you as confidential. This includes business practices, financial information, and any other proprietary information. This information will not be disclosed to any third party without your prior written consent, except as required by law.
Either party may terminate the service agreement with thirty (30) days written notice. I reserve the right to terminate services immediately if you breach these Terms. Upon termination, you are obligated to pay for all services rendered up to the termination date.
I reserve the right to modify these Terms at any time. I will notify you of any changes by posting the new Terms of Service on this page. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
These Terms shall be governed and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
